1. Who we are
Helix (the "Service") is operated by Nira Wealth Ltd, trading as "Helix" (the "Company", "we", "us"). The Company is registered in England and Wales under company number 17098405, with its registered office at 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom.

2. What Helix is
Helix is a non-custodial software tool that helps users send and receive USDC stablecoins on the Base Layer-2 network. The Service generates shareable claim links and broadcasts on-chain transfers using self-custody wallets. Helix does not custody user funds at any point, does not hold private keys on behalf of users, and does not act as a custodian, broker, dealer, or money services business.
The Company is not regulated by the Financial Conduct Authority (FCA), the Prudential Regulation Authority, the Bank of England, or any other financial regulator in respect of the Service. The Service does not constitute the issuance of electronic money, the carrying on of a regulated activity, or the provision of investment, brokerage, or payment services.
3. Eligibility
By using the Service, you confirm that:
- You are at least 18 years old.
- You are not a resident of, or ordinarily resident in, any Prohibited Jurisdiction (see §6).
- You are not the subject of any sanctions administered by HM Treasury, OFAC, the UN, or the EU.
- You are not using the Service on behalf of any such person or jurisdiction.
- You have the legal capacity to enter into a binding agreement in your jurisdiction.
4. The Service
Helix provides a software interface for (a) creating claim links tied to on-chain USDC escrows, (b) broadcasting signed USDC transfer transactions to the Base network via RPC nodes, and (c) reading public blockchain state to display balances, transaction statuses, and similar information.
For fiat on-ramps and off-ramps (converting between USDC and GBP, INR, PHP, etc.), Helix relies on third-party regulated partners, currently including BVNK Limited (FCA-registered Electronic Money Institution, reference no. 901007). When a user initiates a fiat ramp, they are redirected to the partner's onboarding flow and are subject to that partner's terms and AML/KYC requirements.
5. No custody; user responsibility
All USDC transferred via the Service is held in self-custody wallets controlled by the sending and receiving users respectively. The Company never takes possession of user funds. As a result:
- The Company cannot reverse, freeze, or recover any on-chain transfer.
- You are solely responsible for the security of your wallet, including backup of seed phrases and private keys.
- You are solely responsible for the accuracy of recipient addresses and phone numbers.
- Loss of a private key, seed phrase, or passcode is unrecoverable by the Company.
6. Prohibited use
You must not use the Service to:
- Transfer funds to or from any person, entity, or jurisdiction subject to UK, US, EU, or UN sanctions (including OFAC's SDN list and HM Treasury's consolidated list).
- Conduct activity that would constitute money laundering, terrorism financing, sanctions evasion, or proliferation financing under the UK Proceeds of Crime Act 2002, the UK Sanctions and Anti-Money Laundering Act 2018, the US Bank Secrecy Act, or any equivalent local law.
- Defraud, scam, extort, or otherwise cause loss to any third party.
- Transmit material that is unlawful, infringing, defamatory, or obscene.
- Interfere with the Service or attempt to circumvent any rate limits, access controls, or security measures.
We may, at our sole discretion and without notice, block, suspend, or terminate any access to the Service that we reasonably believe is engaged in prohibited activity.
7. Fees
Helix itself charges no fees during the beta period. Network (gas) fees on Base are paid directly to Base network validators; the Company does not collect any portion of these fees. Where third-party partners are involved (e.g., fiat ramps via BVNK), those partners charge their own fees, disclosed to you before you confirm the transaction.
8. Intellectual property
The Service, including its source code, design, copy, and trademarks, is owned by the Company or its licensors. You may not copy, modify, distribute, sell, or create derivative works of the Service without our prior written consent, except as permitted by applicable open-source licences for the underlying code.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components. We do not warrant the accuracy of any blockchain data, exchange rates, or third-party information displayed in the Service.
USDC is a stablecoin issued by Circle Internet Group, Inc. The value of USDC depends on the reserves held by Circle. We do not guarantee the stability, redeemability, or liquidity of USDC.
10. Limitation of liability
To the maximum extent permitted by law, the Company, its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service.
Our total aggregate liability for any claim arising out of or relating to the Service shall not exceed one hundred pounds sterling (£100) or the equivalent in your local currency.
Nothing in these terms shall exclude or limit any liability that cannot be excluded or limited under applicable law.
11. Indemnity
You agree to indemnify, defend, and hold harmless the Company and its officers, employees, and agents from any claim, demand, loss, liability, damage, or expense (including reasonable legal fees) arising out of or related to your use of the Service, your breach of these terms, or your violation of any law or third-party right.
12. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. On termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including ownership, disclaimers, indemnity, and limitations of liability) shall survive.
13. Changes to these terms
We may update these terms from time to time. The "Last updated" date above will change when we do. Material changes will be announced via the Service or by email if you have provided one. Continued use of the Service after a change constitutes acceptance of the updated terms.
14. Governing law and disputes
These terms are governed by the laws of England and Wales. Any dispute arising out of or relating to these terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer-protection laws of your jurisdiction provide otherwise.
